SPYLT WHOLESALE AGREEMENT
GENERAL TERMS OF AGREEMENT: I certify that I am a business and/or wholesaler with a valid business license. I agree to provide proper certificates/licenses when requested. I understand that failure to comply with the terms of this wholesale agreement may result in my wholesale account being suspended or terminated. I also understand that SPYLT LLC reserves the right to change the agreement at any time.
SALES CHANNELS: I understand that SPYLT LLC DOES NOT permit sales on ecommerce channels. This includes online auction sites such as eBay.com; third-party marketplaces such as Amazon.com, Walmart.com, SEARS.com, or similar; or through the use of Google Ads using the words SPYLT , SPYLT MILK, or other direct SPYLT identifying phrases. I agree that I will not sell SPYLT Products through ecommerce sales channels.
MINIMUM ADVERTISED PRICE and PRICING POLICY: SPYLT suggested retail price (MSRP) is $3.33 per can, ($13.32 per case of 4 can, $39.96 per case of 12 can), and the. SPYLT Brands, LLC reserves the right to update its MAP and PRICING POLICY from time to time according to market conditions and without notice. I agree to follow SPYLT's MAP Policy and Pricing Policy. MSRP $3.33 per can and/or $13.32 per 4 can case and/or $39.96 per 2 can case
LEGAL: The Wholesaler shall hold SPYLT harmless from and against all loss, damage, third-party claims, and liability arising out of any culpable act or omission of SPYLT in connection with marketing, resell, or any other commercial activities relating to SPYLT Products.
COPYRIGHT & INTELLECTUAL PROPERTY: All of the designs, products, and content within and any materials made available on the website are the sole property of SPYLT Brands, LLC. The website, designs, products, images, and content within are protected by copyright and intellectual property law and may not be reproduced in any form without the express written consent of SPYLT, LLC. You hereby agree not to reprint, post, or copy (including electronic or digital scans) any photography, sales materials, or product designs without the advance, express written consent of SPYLT, LLC.
